User Agreement

Version effective date: August 13, 2026

The User Agreement (hereinafter referred to as "this Agreement") is entered into by and between the User (hereinafter referred to as "you") and the Seachat Platform (hereinafter referred to as "Seachat," "we," or "the Service Provider"), and shall have the force and effect of a contract. You are required to carefully review and fully understand all terms and conditions, particularly those regarding liability exemption or limitation, as well as any separate agreements or terms related to Seachat or the use of specific services. Unless you have read and accepted all terms of this Agreement, you are not entitled to use this product or service. Your use of this product or service constitutes your acceptance of this Agreement. If you are a minor, you must read this Agreement under the supervision of a legal guardian and pay special attention to the terms governing minors' use.

Important Notice:

First, if you access our products and services through third-party platforms or other login methods provided by us, you must comply with the login service agreement of the third-party platform before proceeding with usage. By using our products or services, you are deemed to have read, understood, and agreed to all terms of this agreement. If you disagree with any terms, please refrain from installing or using the product or related services. Your clicks on "Accept," "Agree," or similar buttons, as well as registration, initial use, or continued engagement with our products/services, constitute acceptance of all agreement terms.

Second, before using this product and related services, you must carefully read all provisions of the User Agreement (hereinafter referred to as "this Agreement"). We specifically remind you to thoroughly read all provisions, particularly those exempting or limiting the liability of HONGKONG SEASOUL CO., LIMITED (which typically include terms such as "no liability" or "no obligation") and other clauses restricting user rights (which often contain terms such as "shall not"). These provisions shall apply to the fullest extent permitted by local laws.

Third, during your use of this product and services, you may contact HONGKONG SEASOUL CO., LIMITED at any time through the contact information provided in this Agreement to share questions, opinions, or suggestions regarding the use of this product and services. We are pleased to communicate with you and answer your questions.

1. Definition and Description

In this agreement, unless otherwise specified, the following terms have the following meanings:

1. This Agreement: refers to the main text of this Agreement, the User Privacy Policy, and its relevant revised versions. Once officially published, the above content shall form an integral part of this Agreement.

2. Product: Refers to Seachat (hereinafter referred to as "the Product"), operated by HONGKONG SEASOUL CO., LIMITED, including but not limited to its Android and iOS versions and any other adaptations compatible with mobile smart devices, together with related updates, upgrades, and patches. If Seachat is provided in software form, this also includes the related software and documentation.

3 User: Also known as "end user", refers to natural persons who obtain usage authorization through legally authorized channels provided by the HONGKONG SEASOUL CO., LIMITED and subsequently install and use this product.

4 Account: Also known as "user account", it refers to an account successfully registered by a user to use this product or service in accordance with this agreement and relevant laws and regulations.

5 Services: refers to all product-related services provided to users.

6 User data: refers to various data generated by users during product usage and recorded by the server, including account information, security logs, and purchase records.

2. Account registration and agreement modification

2.1 Before using our products and services, you mustcomplete account registration. During registration, you must agree to the terms of the User Agreement and User Privacy Policy, and follow all on-screen instructions to complete the process. Upon successful registration, you shall be fully liable for all activities and events conducted using the registered account. You must ensure that the information provided during registration is truthful and accurate. If the information provided is inaccurate or false, we reserve the right to suspend or terminate your account.

2.2 We reserve the right to modify, suspend, or terminate our products or services (in whole or in part) without prior notice, or to amend these terms. If modifications are made, we will publish the updated terms or notify you through other means. By continuing to access or use our products and services, you agree to be bound by the revised terms. If you cannot accept the modified terms, we recommend discontinuing use of our products and services.

3. Content Policy and Conduct Guidelines

3.1 You hereby warrant and commit that you hold full rights to upload, publish, publicly display, or otherwise provide any materials—including but not limited to text, models, images, links, code, or other resources (collectively "Content")—through our services. You acknowledge and agree that we are committed to maintaining a civilized, healthy, and orderly online environment. You must not use this product or service to create, reproduce, distribute, or disseminate content that disrupts normal business operations, violates laws and regulations, or infringes upon the legitimate rights of other users or third parties. Additionally, you are prohibited from utilizing this product or service for any illegal purposes.

3.2 You acknowledge and agree that your conduct and statements regarding this product must comply with applicable laws, regulations, and the HONGKONG SEASOUL CO., LIMITED's content policies, and you shall refrain from any unlawful or improper activities, including but not limited to:

3.2.1 Endangering national security or disclosing state secrets;

3.2.2 Damaging national honor and interests;

3.2.3 Promoting terrorism, extremism, or inciting the conduct of terrorist or extremist activities;

3.2.4 Inciting ethnic or regional hatred and discrimination, or undermining ethnic unity;

3.2.5 Spreading rumors, false information, or political disputes that disrupt economic and social order;

3.2.6 Disseminating obscenity, pornography, gambling, drugs, violence, bloodshed, murder, terrorism, or incitement to crime;

3.2.7 Disseminating vulgar, obscene, child-related, or harmful content that endangers the physical or mental health of individuals or others, thereby undermining social ethics and public order;

3.2.8 Insulting or defaming others, infringing upon their reputation, privacy, portrait, or other legitimate rights and interests;

3.2.9 Violations of local religious policies;

3.2.10 Other contents prohibited by laws and administrative regulations.

3.3 You must not use the internet or related information technologies to commit malicious attacks, fraud, insults, defamation, threats, spreading rumors, or other illegal acts that infringe upon others' privacy, thereby harming their lawful rights and interests.

3.4 You shall not use new technologies and applications such as deep learning and virtual reality to produce, publish, or disseminate false information, or engage in activities prohibited by laws and administrative regulations.

3.5 When publishing or disseminating non-true information created using new technologies and applications such as deep learning and virtual reality, you must clearly label it.

3.6 You must not distribute commercial advertisements, solicitation materials, excessive marketing content, or spam.

3.7 When publishing content or sharing, forwarding, or copying this product and related service information with any third party, you must also comply with any other rules and standards established by the HONGKONG SEASOUL CO., LIMITED for such purposes.

3.8 To ensure the healthy development of internet content, all your actions on this product and service must comply with legal and regulatory requirements, national interests, citizens 'legitimate rights, social public order, ethical standards, and information authenticity. You are solely responsible for all actions under your account, including any published content and its consequences. You must independently evaluate the content on this platform and assume all risks arising from its use, including those related to reliance on the content's legality, accuracy, completeness, or utility. The HONGKONG SEASOUL CO., LIMITED cannot and will not be liable for any losses or damages resulting from such risks.

3.9 HONGKONG SEASOUL CO., LIMITED encourages users to report any suspected violations of the aforementioned rules through the reporting system within the product. We reserve the right to monitor disputes among users but are not obligated to do so. Depending on the severity of your violation, we may independently determine and take appropriate actions, including but not limited to: resetting content (including but not limited to resetting or forcibly modifying illegal usernames, avatars, images, models, comments, or other unauthorized information uploaded by you), denying publication, issuing warnings, restricting features, blocking communication, temporarily or permanently suspending accounts, prohibiting or terminating accounts, blocking login access, disabling or deleting content, or taking other reasonable measures at our discretion with or without prior notice. HONGKONG SEASOUL CO., LIMITED shall not be liable for any consequences resulting from these actions, such as account service disruptions or inability to access account assets or benefits. HONGKONG SEASOUL CO., LIMITED reserves the right to announce or publicly disclose handling results, and may not restore deleted content. We also reserve the right to decide whether to reinstate account usage based on actual circumstances. HONGKONG SEASOUL CO., LIMITED respects and protects users 'and others' intellectual property rights, reputation rights, name rights, privacy rights, and other legitimate interests. If you upload, create, transmit, or otherwise disseminate content through the network services provided by this product or service, thereby infringing upon the legitimate rights and interests of third parties (including but not limited to patents, trademarks, copyrights, related rights, portrait rights, privacy rights, and reputation rights), and such actions result in any complaints, reports, inquiries, claims, or lawsuits against the HONGKONG SEASOUL CO., LIMITED or its partners, or cause any reputational, financial, or property losses to the HONGKONG SEASOUL CO., LIMITED or its partners, you shall take all possible measures to protect the HONGKONG SEASOUL CO., LIMITED and its partners from such claims or lawsuits. Additionally, you shall be fully liable for all direct and indirect economic losses incurred by the HONGKONG SEASOUL CO., LIMITED and its partners as a result.

4. Membership Services

4.1 The HONGKONG SEASOUL CO., LIMITED reserves the right to modify membership types and their versions based on operational needs.

4.2 After activating the Seachat membership service, users will enjoy exclusive benefits. You can view the membership benefits introduction and its latest updates on the activation page.

4.3 When using the HONGKONG SEASOUL CO., LIMITED's membership services, the HONGKONG SEASOUL CO., LIMITED reserves the right to charge corresponding membership fees. The billing methods, pricing, and other service fee details shall be based on the actual display on the subscription pages of specific service items or as separately confirmed by the HONGKONG SEASOUL CO., LIMITED. The HONGKONG SEASOUL CO., LIMITED reserves the right to adjust the membership service scope, fee standards, or charging methods as appropriate and will announce such adjustments through proper channels.

4.4 HONGKONG SEASOUL CO., LIMITED may offer various promotional offers during specific periods due to marketing strategies or promotional campaigns, including "time-limited free," "time-limited discounts," "limited-time offers," "recharge discounts," and complimentary services. You acknowledge and agree that these offers may be temporary, phased, or restricted, and may only apply to customers meeting specific conditions. You must purchase and use the corresponding services in accordance with the applicable rules. If you fail to meet the specified conditions, you will not be eligible for the corresponding offers. Unless otherwise expressly stated in writing, the offers cannot be applied simultaneously.

4.5 The membership service period starts from the date you successfully pay the service fees. The specific duration is determined by the service term of the specific service you choose to purchase. If you wish to continue enjoying the membership service after the expiration date, you can renew it by purchasing or automatically renewing.

4.6 You acknowledge and agree that your Seachat membership account is linked to your personal account. Without the HONGKONG SEASOUL CO., LIMITED's authorization, you are prohibited from selling, sharing, or leasing your membership account to others in any form. Failure to comply may result in the HONGKONG SEASOUL CO., LIMITED suspending or terminating your services based on your breach of contract. You must safeguard your membership account and password, and any losses caused by password leaks shall be your sole responsibility. If you discover unauthorized use of your account or password, or any other unauthorized activities, you must immediately notify the HONGKONG SEASOUL CO., LIMITED through valid channels.

4.7 You acknowledge and agree that we may send you necessary information, such as event details, via messages, notifications, SMS, or phone calls to ensure you fully enjoy our membership services and don't miss out on premium benefits.

4.8 You acknowledge and agree that the Seachat membership fee constitutes consideration for the purchased membership services, and shall not be regarded as an advance payment, deposit, security deposit, or savings card. Once activated, VIP membership services are non-refundable, except in cases where: (a) the services are fundamentally defective rendering them unusable; (b) this agreement stipulates otherwise; (c) legal requirements mandate refunds; or (d) Seachat expressly consents to refunds.

4.9 To prevent members from missing timely renewals due to negligence or other reasons, the HONGKONG SEASOUL CO., LIMITED provides automatic renewal services for eligible users.

4.9.1 If a member opts for automatic renewal, they authorize the HONGKONG SEASOUL CO., LIMITED to have the payment channel automatically deduct the next billing cycle's fees 24 hours before and after the renewal period expires. The deduction cycle may be adjusted by the operator or payment channel based on actual circumstances, with the actual deduction time being the reference. For example, if the deduction is successfully processed through mobile phone or iOS channels, the corresponding membership service period will be automatically extended.

4.9.2 The automatic renewal billing cycle may be monthly or annual (subject to the HONGKONG SEASOUL CO., LIMITED's actual provision), and members may choose their preferred option.

4.9.3 For automatic renewal, the user agrees that the payment channel may deduct the next billing cycle's membership service fees from the linked account without requiring verification of the member account password, payment password, or SMS verification code.

4.9.4 Automatic renewal and payment will continue without limit unless the member or HONGKONG SEASOUL CO., LIMITED explicitly cancels it.

4.9.5 If you do not explicitly opt out of automatic renewal, you will be deemed to have consented to the HONGKONG SEASOUL CO., LIMITED making recurring payment attempts after your membership expires, based on the payment channel's deduction rules—even if your account balance is insufficient.

4.9.6 Upon successful payment, the HONGKONG SEASOUL CO., LIMITED will activate your VIP membership for this billing cycle.

4.9.7 Please be advised that the HONGKONG SEASOUL CO., LIMITED reserves the right to adjust membership service prices (including automatic renewal services). During the validity period of your automatic renewal service, if the HONGKONG SEASOUL CO., LIMITED modifies the service price at the time of activation, it will notify you through one or more reasonable means such as announcements or internal messages. If you disagree with the price adjustment, you may cancel the automatic renewal service as stipulated in this agreement. Your membership service will terminate upon expiration of the current membership cycle. If you do not cancel the automatic renewal service, the payment channel will deduct service fees for the next billing cycle and subsequent cycles at the adjusted price. Additionally, please note that due to payment channel deduction rules, if you cancel the automatic renewal service within 24 hours before the current billing cycle expires, the payment channel may deduct service fees for the next billing cycle at the adjusted price before stopping the deduction. If the deduction is successful, your membership service will terminate upon expiration of the next billing cycle.

4.9.8 Cancellation Method: For example, through Alipay: "My Account> Upper Right Settings> Payment Settings> Password-Free Payment/Auto-Deduct> Select Cancel". You acknowledge that automatic renewal status updates may experience display delays, and the actual status will be shown on the Alipay platform. Before successful cancellation, any deduction instructions you have authorized for automatic renewal remain valid. The HONGKONG SEASOUL CO., LIMITED will not refund or compensate for fees deducted based on these instructions prior to the cancellation.

4.10 If you do not renew or reactivate the membership service after its expiration, the membership service will terminate and the corresponding benefits will become invalid.

4.11 Users shall not obtain membership benefits or services through any illegal means, including but not limited to: modifying service content, duration, transaction amounts, or status via technical means; or cracking, altering, reversing, tampering with, or otherwise damaging the security measures employed by the HONGKONG SEASOUL CO., LIMITED to protect VIP membership services.

5. Intellectual Property and Licensing

5.1 You acknowledge and undertake that all content (including but not limited to models, images, and multimedia) you upload or post when using HONGKONG SEASOUL CO., LIMITED's products and services is either your original creation or legally authorized (including sub-licensing), and does not infringe any third-party intellectual property rights. The intellectual property rights of the content you upload or post belong to you or the original copyright holder.

5.2 The intellectual property rights of the product/service and all its components are owned by HONGKONG SEASOUL CO., LIMITED, including but not limited to all data, technologies, software, code, user interfaces, trademarks, logos, and other commercial identifiers, as well as any derivative works thereof.

5.3 All rights to any third-party software used for network services (including but not limited to images, photos, animations, videos, audio recordings, music, text, add-ons, and accompanying help materials) shall belong to the respective rights holders of such third-party software.

5.4 You hereby grant us, our affiliates, and each user a global, all-device, non-exclusive, free, and sublicensable license. This license permits us, our affiliates, and each user to use, store, and distribute your content in any form through the current or future media of the Internet via this product and services, as well as to publicly display your content and derivative works.

The HONGKONG SEASOUL CO., LIMITED may use your content for promotional purposes on its website and related materials. If any organization or individual believes that the website's promotion may infringe upon their legitimate rights and interests, they may submit a written rights notice to the HONGKONG SEASOUL CO., LIMITED or contact customer service. The HONGKONG SEASOUL CO., LIMITED will address such matters promptly upon receiving a valid and legal notice.

The above authorization shall remain valid after either party terminates this agreement for any reason.

5.5 By downloading files or images from our products and services, or copying user-generated content or using such content to create derivative works (collectively "User-Generated Content"), you acknowledge that you do not inherit any rights from the original creator.

When using user-generated content, you must comply with:

Personal, non-commercial use: You may use user-generated content for personal, non-commercial purposes, except for any other specific rights granted by the content creator or permitted by these terms.

Fair use: You may use user-generated content under fair use provisions of copyright law, provided that you credit 'Seachat' in the content.

Risks and Warranties: You assume all risks associated with using user-generated content. You acknowledge that we cannot guarantee such content is entirely free of infringement. If your use of user-generated content causes the HONGKONG SEASOUL CO., LIMITED any infringement losses, you shall compensate accordingly.

The above terms apply to all content except those specific licenses provided by the content creator, and are not intended to limit any rights granted under such licenses. Furthermore, when the content includes reasonable and customary license notices (e.g., open source licenses), it remains subject to the license terms when accessed, distributed, or used.

5.6 You hereby confirm and agree that, to ensure the timely and effective protection of users 'legitimate rights and interests under this service, you hereby expressly authorize HONGKONG SEASOUL CO., LIMITED to take legal action against suspected infringers in your own name or through a professional third-party agency when your rights (including but not limited to intellectual property rights such as copyrights and trademarks) are likely to be infringed and further jeopardize HONGKONG SEASOUL CO., LIMITED's interests. The authorized measures may include but are not limited to infringement monitoring, issuing warning letters, filing administrative complaints, requesting police intervention, initiating legal proceedings, applying for arbitration, mediation, or settlement.

6. Complaints

6.1 We respect intellectual property rights. If rights holders discover others infringing their legitimate rights, they may file a complaint via customer@seachat.ai with the subject line "Rights Notice" and provide a detailed description of the alleged infringement in accordance with legal requirements. Upon receiving such notices, we may remove the infringing content or disconnect links to it, and may terminate the accounts of repeat infringers based on the severity of the violation.

The rights notice must include the following information:

(1) Contact details of the rights holder, including name, photocopy of driver's license or passport (for individuals), photocopy of business registration certificate or other relevant documents (for enterprises), mailing address, telephone number, fax, and email address;

(2) Documentation proving the ownership of rights by the rights holder;

(3) The location of the alleged infringing content on the information network (e.g., specify the source of the reported content, such as the webpage address or its position within the webpage), so we can contact the owner or administrator of the webpage containing the reported content.

(4) The right holder is requested to provide a comprehensive and accurate description of the infringed legitimate rights and interests, along with preliminary evidentiary materials demonstrating the infringement of such rights.

(5) Please include the following statement regarding the authenticity of the notice content in the rights notification: "I am the lawful rights holder of the complained content; the content published at the reported access address infringes upon my legitimate rights. I hereby confirm that if any information in this rights notice is not entirely accurate, I will assume full legal responsibility for all consequences."

(6) Please include the following statement in the rights notification: "I hereby confirm that the information provided herein is complete, truthful, and accurate. I am either the lawful rights holder of the complained content or have been duly authorized to exercise the rights specified in item (3)."

(7) Please sign this document.

Please note: Should any statements in the rights notice be inaccurate, the submitter shall be fully liable for all resulting legal consequences, including but not limited to compensation for damages and attorney fees. If an individual or enterprise is uncertain whether the information available through this product or service infringes upon their legitimate rights, we recommend consulting a qualified legal professional first.

6.2 Upon receiving the rights notice, we will simultaneously forward the notification to the content provider whose materials were deleted or links were removed. However, if the content provider asserts that the deleted materials or removed links do not infringe upon others' rights, they may legally send a counter-notification to customer@seachat.ai requesting the restoration of deleted content or links. The email subject line should be "Notice Regarding Non-Infringement of Deleted Materials or Links," and the counter-notification must include the following details:

(1) Please specify the content we have deleted or disconnected, including its location on the information network (e.g., the webpage address or internal position);

(2) Legitimacy proof of the deleted content, including but not limited to ownership certificates demonstrating your lawful rights to the deleted or disconnected content, or evidence of your legal right to use the work or content;

(3) Please provide specific contact information, including name, copy of driver's license or passport (for individuals), copy of business registration certificate and other relevant documents (for enterprises), mailing address, telephone number, fax number, and email address.

(4) Please include the following statement regarding the authenticity of the counter-notice in the counter-notice: "I am the lawful rights holder of the work/content; I am authorized to provide or publish the aforementioned deleted or disconnected content. I hereby confirm that if this 'counter-notice' is not entirely accurate, I will assume all legal liabilities arising therefrom."

(5) Please include the following statement in the counter-notice: "I hereby confirm that the information provided herein is complete, truthful, and accurate. I am either the lawful rights holder of the work/content, or have obtained authorization or am legally entitled to use the work/content specified in item (2)."

(6) Please sign this document.

7. Third-party products and services

7.1 When using this product or services provided by third parties, you must comply with their user agreements. The HONGKONG SEASOUL CO., LIMITED shall not be liable for any disputes arising from such third-party products or services.

7.2 When users utilize this product or service, it may access third-party systems or provide third-party support for user access. The HONGKONG SEASOUL CO., LIMITED shall not be liable for any disputes or damages arising from such third-party services or content, including but not limited to content accessed through personal accounts. The HONGKONG SEASOUL CO., LIMITED makes no warranty regarding the security, accuracy, validity, or other risks associated with third-party services or content.

7.3 You acknowledge and agree that HONGKONG SEASOUL CO., LIMITED reserves the right to utilize this product and services for commercial purposes, including but not limited to developing or employing certain features for third-party promotions. However, this does not imply any legal liability for third-party products or services. HONGKONG SEASOUL CO., LIMITED undertakes to strictly protect your personal information in accordance with this agreement during promotional activities. Additionally, you may configure system settings to block or opt out of receiving related promotional communications.

8. Privacy Policy

Respecting user privacy is a fundamental obligation of HONGKONG SEASOUL CO., LIMITED. Please review our privacy policy.

9. Disclaimer

9.1 Given the unique nature of network services, users acknowledge that this product and service may undergo changes, interruptions, or termination of partial or all network services at any time. If such changes, interruptions, or terminations involve free network services, we are not required to notify users or assume liability to any user or third party. AI-generated content may contain inaccurate or erroneous information, and users are solely responsible for verifying the accuracy of such content.

9.2 You acknowledge that this product and service may require periodic or ad hoc maintenance or servicing of network service-providing products or related equipment. Should such activities cause interruptions to paid network services within a reasonable timeframe, we shall not be liable for any resulting disruptions, provided that we have given prior notice to the extent possible.

9.3 This product and service may be modified or partially discontinued at any time for any reason. We reserve the right to cancel or terminate services to users without prior notice or justification. Upon cancellation, users' rights to use the service will cease immediately. Any information stored in the service may become permanently lost after termination.

9.4 This product and service do not guarantee (including but not limited to):

9.4.1 This service meets the user's requirements;

9.4.2 The service shall be uninterrupted, delivered promptly, securely, and reliably without errors, and all products, services, or materials obtained through the service shall meet user expectations.

9.4.3 You assume full responsibility for any risks arising from using materials obtained through this service. Should such use result in damage to your computer system or loss of data, you shall bear full liability.

9.5 The HONGKONG SEASOUL CO., LIMITED shall not be liable for any direct or indirect compensation for losses of profits, business reputation, data, or other tangible or intangible losses arising from the following reasons:

9.5.1 The use of this service or the inability to use it;

9.5.2 Any products, materials, or services purchased or obtained through this service;

9.5.3 Unauthorized use or modification of your data; and other matters related to this service.

9.6 Any disputes or losses arising from your authorization to third parties (including third-party applications) to access or use this service shall be your sole responsibility.

9.7 HONGKONG SEASOUL CO., LIMITED will provide services corresponding to the service type you select. You acknowledge and agree that, based on comprehensive factors including user experience, product operational security, platform regulations, and healthy development, HONGKONG SEASOUL CO., LIMITED reserves the right to select service providers or partners, determine the scope of feature availability, data interfaces, and related data disclosures, and may suspend or terminate services for users exhibiting any of the following circumstances:

(1) Violation of laws, regulations, or the terms of this agreement;

(2) Affecting user experience;

(3) posing safety hazards;

(4) Violating product operation principles, interfering with the normal operation of product functions, or failing to comply with Seachat's other management requirements.

10. Terms of Use for Minors

10.1 If you are a minor, you must read and agree to this agreement carefully under the supervision and guidance of your guardian, and with the guardian's consent, before using this product and related services.

10.2 We take the protection of minors 'personal information seriously. When providing personal information, minor users should exercise due caution and enhance their awareness of personal protection. They must obtain their guardians' consent and use this product and related services under their guardians' guidance.

10.3 Minors and their guardians acknowledge and confirm that if you violate any laws, regulations, or the terms of this agreement, you and your guardians shall be held legally liable for all resulting consequences.

10.4 Special Notes from Guardians

10.4.1 If your ward uses this product or related services, you, as the guardian, shall guide and supervise the ward's registration and use. If your ward applies to register a user account, Seachat shall be entitled to deem that the ward has obtained your consent.

10.4.2 Your guardian may use the recharge feature when your minor uses this product or related services. As a guardian, please safeguard your payment device, account, and password to prevent unauthorized use of the recharge feature through your account.

11. Application of Law and Jurisdiction

11.1 You and HONGKONG SEASOUL CO., LIMITED agree that the dispute resolution procedures set forth in this Agreement shall apply to any disputes or claims arising from the User Agreement, User Privacy Policy, or our services. These disputes include all types of claims, including but not limited to legal claims, claims based on equity principles, or statutory damages. This dispute resolution clause shall remain in effect even if you cease using your account, request account deletion, or discontinue using the Service. This clause also applies to disputes occurring prior to the execution of this Agreement.

11.2 Most issues can be resolved promptly and amicably by contacting customer service. If you are dissatisfied with the resolution, you may resolve your dispute through the following procedures, including binding individual arbitration (if applicable).

11.3 Binding Individual Arbitration. The arbitration procedures stipulated herein shall be conducted solely through individual arbitration. Should the dispute between you and HONGKONG SEASOUL CO., LIMITED fail to be resolved through informal negotiations, either party shall submit the matter to the Singapore International Arbitration Centre ("SIAC") for final and exclusive resolution under its arbitration rules, governed by Singapore law and excluding all conflict of laws provisions. The arbitral award shall be final and binding on both parties. Should this arbitration clause be declared invalid, unenforceable, or unlawful, both parties agree to submit the dispute to the courts of Singapore for adjudication. Whether through arbitration or litigation, you hereby waive all defenses regarding lack of personal jurisdiction and/or objections to venue and jurisdiction.

11.4 Despite the foregoing, each party shall retain the right to seek injunctions or other equitable remedies from any competent court to prevent actual or potential infringement, misappropriation, or violation of its copyrights, trademarks, trade secrets, patents, or other intellectual property ("IP litigation"). The parties further reserve the right to initiate legal proceedings in any jurisdiction to seek compensation for intentional misuse or abuse of their intellectual property, including but not limited to cyberattacks or location spoofing.

11.5 Informal Resolution. You agree that in any dispute situation, you and HONGKONG SEASOUL CO., LIMITED shall first attempt to resolve the dispute informally within no less than 60 calendar days prior to initiating individual arbitration proceedings ("Dispute Notice"). The informal resolution period shall commence upon receipt of the Dispute Notice by either party. The Dispute Notice shall include: your name, any relevant account IDs or identifiers you use, the complainant's contact information, a description of the issue, and your request for Seachat's response. You must send the Dispute Notice to legal@seachat.ai, and we will forward it to your payment or registered email address.

11.6 Waiver of Class Action. Both parties may only file claims individually against each other and are prohibited from acting as plaintiffs or class members in any class action or representative action within any jurisdiction. Furthermore, if the dispute is resolved through arbitration, the arbitrator shall not consolidate claims from other parties with yours, nor shall they initiate any form of representative or class action in any other manner. If this clause is unenforceable, the arbitration clause herein shall be wholly invalid, and both parties agree that all claims and disputes shall be submitted to the courts of Singapore, governed by Singaporean law, and the application of any conflict of laws shall be excluded.

11.7 The terms of this section apply to users in the United States or Canada. Please read them carefully, as they may affect your rights, including your right to file a lawsuit in court.

However, if you are dissatisfied with the resolution provided by customer service, you may proceed with dispute resolution through the following process, including binding individual arbitration (where applicable).

11.7.3 Arbitration provides an alternative dispute resolution method, enabling us to resolve issues without litigation. Any disputes between you and the HONGKONG SEASOUL CO., LIMITED may be submitted to a neutral arbitrator (not a judge or jury) for fair and efficient resolution. Arbitration is a more effective approach for both you and Seachat.

11.7.4 Binding Individual Arbitration. The arbitration procedures stipulated in this section shall be conducted solely through individual arbitration. If the dispute cannot be resolved informally between you and us, either party may resort to binding individual arbitration for final and exclusive resolution. The arbitration shall be conducted by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules ("AAA Rules"), and the applicable law shall be governed by the law of your jurisdiction. Unless otherwise agreed, the arbitration shall be conducted in confidence, and neither party may disclose the existence, content, or outcome of the arbitration unless required by law or for the purpose of enforcing the award. You or HONGKONG SEASOUL CO., LIMITED may initiate arbitration in the federal jurisdiction specified in your dispute notice.

11.7.7 Waiver of Class Action. Both parties may only file claims individually against each other and are prohibited from acting as plaintiffs or class members in any class action or representative action within any jurisdiction. Furthermore, if the dispute is settled through arbitration, the arbitrator shall not consolidate claims from other parties with yours or initiate any form of representative or class action. Should this clause prove unenforceable, the arbitration clause herein shall be wholly void.

11.7.8 Waiver of Individual Arbitration and Class Action Clauses. You or HONGKONG SEASOUL CO., LIMITED may opt out of these arbitration procedures and resolve disputes through court proceedings rather than arbitration if: (1) the dispute meets the criteria for filing a lawsuit in a small claims court; or (2) you notify the HONGKONG SEASOUL CO., LIMITED in writing that you are waiving the binding individual arbitration and class action clauses, with the subject line of your email stating "Notice of Waiver of Individual Arbitration and Class Action Clauses". You must send the notice via email to legal@Seachat.ai within 30 days of accepting this agreement or exercising the waiver right (whichever comes first). The notice must include your name, address, platform username, and email address used for account registration (if applicable), along with a clear statement that you do not wish to resolve disputes through individual arbitration. Failure to provide the waiver notice within the specified period will be deemed as your explicit waiver of the right to litigate any dispute.
